PERFORMANCE SHARE PLAN
VESTING AWARDS
The following amendments have been made to the notification of transactions of persons discharging managerial responsibilities ("PDMRs") announcement released on 8 August 2017 at 07:00 hours under RNS No. 2923N.
The amendments are identified with an asterisk (*) below. All other details remain unchanged.

Notification of Transactions of Persons Discharging Managerial Responsibilities ("PDMRs")
Performance Share Plan Vesting Awards
Pursuant to the vesting, each recipient instructed Heritage Corporate Trustees Limited as the trustee of the River and Mercantile Group Employee Benefits Trust (the 'EBT') to sell a proportion of the shares that vested in order to satisfy their income tax and national insurance liabilities immediately arising on vesting and to transfer the balance of shares into their name. *One recipient also instructed the EBT to dispose of a portion of their remaining shares.
The total number of shares sold by the EBT in relation to the PDMRs and others was 365,713. The shares were sold in the market on 3 August 2017 at 330 pence per share.
The table below sets out the shares that vested on 3 August 2017, the number of shares sold and the respective beneficial holdings in the Company of the respective PDMRs following the vesting and sale:
