APPOINTMENT OF A NEW DIRECTOR; RETIREMENT OF THE CHAIRMAN

The Law Debenture Corporation p.l.c. is pleased to announce that Robert Hingley has been appointed as a non-executive director of the Corporation with effect from 1 October 2017.

Simultaneously, Christopher Smith has confirmed that he will not seek re-election at the next AGM, planned for 11 April 2018. He will retire as Chairman and non-executive director at the conclusion of the meeting. It is intended that, subject to election by shareholders, Robert Hingley will replace Christopher Smith as Chairman of the Corporation.

Robert Hingley is a corporate financier with over 30 years' experience. He is currently a partner of Ondra LLP, an independent financial advisory firm.

He joined the Association of British Insurers as Director, Investment Affairs in 2012 and, following the merger of ABI's Investment Affairs with the Investment Management Association, acted as a consultant to the enlarged IMA until end 2014. From 2010 until 2015, he was a Managing Director, and later Senior Advisor, at Lazard. He was previously Director-General of The Takeover Panel from 2007, on secondment from Lexicon Partners, where he was Vice Chairman. Prior to joining Lexicon Partners in 2005, he was Co-Head of the Global Financial Institutions Group and Head of German Investment Banking at Citigroup Global Capital Markets, which acquired the investment banking business of Schroders in 2000. He joined Schroders in 1985 after having qualified as a solicitor with Clifford Chance in 1984.

He is currently Chairman of Phoenix Spree Deutschland Limited, a listed investment company specialising in German residential real estate, and is a non-executive director of Strutt and Parker LLP. He is also a member of The Takeover Panel and trustee/governor of several charitable organisations.

Christopher Smith was first appointed to the board in March 2009 and became Chairman in April 2013.

There is no other information required to be disclosed under section 9.6.13 of the Listing Rules in respect of Robert Hingley.
