Transaction in Own Shares

Hansteen (LSE: HSTN), the investor in UK real estate, announces that on 16 October 2017, participants in the Company's Performance Share Plan 2012 ("the Plan") exercised their nil-cost call rights over 1,767,840 Ordinary Shares in the Company.

In satisfaction of these exercises the Company transferred from treasury to the participants 838,070 Ordinary Shares in the Company for nil consideration and the Hansteen Employee Benefit Trust ("the Trust") transferred 929,110 Ordinary Shares in the Company to the participants for nil consideration.

Following the above exercise of options and subsequent transfer of treasury shares to participants the total number of Ordinary Shares in the Company in issue is 825,893,517 and the Company holds nil Ordinary Shares in treasury. Therefore, the total number of voting rights in Hansteen Holdings PLC is 825,893,517.

The above figure, 825,893,517, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, Hansteen Holdings PLC under the FCA's Disclosure Guidance and Transparency Rules.

In addition, following the transfer of Ordinary Shares from the Trust to the participants the number of Ordinary Shares held by the Trust and therefore excluded from the EPS calculation is 270,890.
